Terms of Service

Governing law: Federal Republic of Germany. Contracting entity: Westover Labs UG (haftungsbeschränkt), Berlin.

1. Scope & contracting entity

These Terms of Service ("Terms") govern the use of this website and, where applicable, any consulting, engineering, or advisory services ("Services") provided by Westover Labs UG (haftungsbeschränkt), Lützowstraße 111, 10785 Berlin, Germany, Commercial Register: Amtsgericht Charlottenburg, HRB 284781 B ("Westover Labs", "we", "us"). Specific engagements are governed by a separate written statement of work or service agreement, which takes precedence over these Terms in case of conflict.

2. Website use

The content on this website is provided for general informational purposes about Westover Labs and its services. We make reasonable efforts to keep the information accurate and up to date but do not warrant its completeness, accuracy, or timeliness. Nothing on this website constitutes a binding offer; a binding engagement is formed only through a signed statement of work or service agreement.

3. Engagements & scope

Each consulting engagement (e.g. Focused Review, Audit + Remediation, Cost Teardown, Advisory session, or a longer-form AI infrastructure / Fractional CTO engagement) is scoped, priced, and time-boxed in a separate written agreement before work begins. Scope changes are handled via a written change order. Fixed-price engagements are fixed to the agreed scope; work outside that scope is quoted separately.

4. Fees & payment

Fees are as set out in the applicable statement of work, exclusive of VAT unless stated otherwise. Payment terms (e.g. deposit on signature, balance on completion) are specified per engagement. Late payment may be subject to statutory interest under German law (§288 BGB).

5. Intellectual property & deliverables

Unless otherwise agreed in writing, upon full payment the client receives the rights of use necessary to operate the delivered work product (code, documentation, configuration) for its intended business purpose. Westover Labs retains ownership of its own pre-existing tools, frameworks, and general know-how used to deliver the engagement, and may reuse generic, non-client-identifying methods and learnings in future engagements.

6. Confidentiality

Both parties agree to keep confidential any non-public business, technical, or financial information disclosed in connection with an engagement, and to use it solely for the purposes of that engagement. This obligation survives the end of the engagement. A mutual non-disclosure agreement is available on request and is often executed alongside the statement of work.

7. Warranties & liability

Services are performed with the diligence and care expected of a professional engineering consultancy. Except as expressly agreed in a statement of work, Services are provided without further warranty. Liability for damages is limited to cases of intent and gross negligence, and to typically foreseeable damages in cases of slight negligence relating to a material contractual obligation, to the extent permitted under German law. Nothing in these Terms limits liability for death, personal injury, or fraud.

8. Term & termination

Fixed-scope engagements end upon delivery and acceptance of the agreed deliverables. Ongoing engagements (e.g. Fractional CTO retainers) may be terminated by either party with the notice period specified in the applicable agreement, or absent a specified period, with 30 days' written notice.

9. Governing law & jurisdiction

These Terms and any engagement governed by them are subject to the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). To the extent legally permissible, the place of jurisdiction is Berlin, Germany.

10. Changes to these Terms

We may update these Terms from time to time. The version applicable to an individual engagement is the version referenced in, or attached to, the relevant statement of work.
